Shanghai Formal Leasing Agreement

根据《中华人民共和国合同法》、《上海市房屋租赁条例》(以下简称:《条例》)的规定,甲、乙双方在平等、自愿、公平和诚实信用的基础上,经协商一致,就乙方承租甲方可依法 出租 的 房屋 事宜,订立本合同。

According to The Contract Law of People’s Republic of China, and the Regulation of Shanghai municipality on lease of Urban House (hereinafter referred to as: Regulation), Party A and Part B through negotiation, have executed this Contract in the matters of leasing the Premises legally owned by Party A to Party B. This Contract is based upon the principles of equality willingness, equity and good faith.

一、出租或预租房屋情况

One、The situation of leasing or pre-leasing Premises:

1-1 甲方出租给乙方的房屋座落在_ _。该房屋出租(【出租】实测)建筑面积为_ _ 平方米,土地用途为_ _ ,房屋类型为_ _ 、结构为_ _ 。该房屋的平面图见本合同附件(一)。甲方已向乙方出示:

1-1 The Premises leased to Party B by Party A locate at _ _. The building area of the Premises ([leasing]) actual measure is_ _square meters, the usage of the land is_ _, the type of the Premises is_ _, the construction is_ _.The floor plan of the Premises is attached have as appendix (one). Party A has already presented to Party B:

1) 《房地产权证》(权证编号:沪房地长字( )第 号)

1) The Real Estate Ownership and Land Use Rights Certificate(沪房地长字( )第 号)

1-2 甲方作为该房屋的_ _与乙方建立租赁关系。签定本合同前,甲方已告知乙方该房屋 已/未 设定抵押。

1-2 Party A regards as_ _builds up the relationship of leasing with Party B. Before signing the contract Party A has already informed Party B the Premises has / has not set collateralize.

1-3 该房屋的公用或合用部位的使用范围、条件和要求;现有装修、附属设施、设备状况和甲方同意乙方自行装修和增设附属设施的内容、标准及需约定的有关事宜,由甲、乙双方分别在本合同附件(二)、(三)中加以列明。甲、乙双方同意该附件作为甲方向乙方交付该房屋和本合同终止时乙方向甲方返还该房屋的验收依据。

1-3 The use range condition and requirement Premises common places; the present decoration、attached facilities、the decoration and the content standard and other relevant of the decoration and attached facilities increased by Party B, which is agreed by Party A, shall be listed in appendix (2),(3) by Party A and Party B. Party A and Party B both agree that this appendixes shall be considered as the inspection record when Party A hands over the Premises to Party B and when Party B returns the Premises to Party A upon completion of this leasing term in accordance with this Contract.

二、租赁用途

Two、Usage of The Premises

2-1乙方向甲方承诺,租赁该房屋作为_ _使用,并遵守国家和本市有关房屋使用和物业管理的规定。

2-1 Party B promises to Party A that the Premises is only for_ _, and shall obey the relevant state and local regulations about use and the management of the housing.

2-2 乙方保证,在租赁期内未征得甲方书面同意以及按规定须经有关部门审批而未核准前,不擅自改变上述约定的使用用途。

2-2 Party B promises that it shall not change the usage of the Premises without getting the written consent of Party A and the approval of the related department according to the terms herein during the Leasing term.

三、交付日期和租赁期限

Three、Delivery date and leasing term

3-1 甲乙双方约定,甲方于_ _向乙方交付该房屋。【出租】房屋租赁期自_ _止。

3-1 Both Parties agree that Party A shall hand over the Premises to Party B on_ _[leasing]. The leasing Term is commenced from _ _ to _ _.

3-2 租赁期满,甲方有权收回该房屋,乙方应如期返还。乙方需继续承租该房屋的,则应于租赁期满前_ _个月,向甲方提出续租书面要求,经甲方同意后签订租赁合同。

3-2 Party A shall have the right to take back the Premises from Party B and Party B shall return the Premises to Party A on time upon the expiration of leasing term. Party B shall apply for extension in writing to Party A _ _ months before the expiration if Party B intends to continue the lease, the new lease contract shall be signed after getting Party A’s approval.

四、租金、支付方式和期限

Four、Rent, Payment Method and term

4-1 甲、乙双方约定,该房屋每日每平方米建筑面积租金为_ _。【出租】月租赁费用总计为( 人民币)_ _ 元(大写:_ _ 整)。即日租金为人民币_ _ 。

4-1 The two Parties agree that the rent of one square meter for one day is_ _. [Leasing] the monthly rent is _ _ RMB. That is to say the daily rent is _ _ RMB.

该房屋租金在_ _内不变。自第_ _年起,双方可协商对租金进行调整。

The rent shall not be changed within_ _. The rent can be increased or decreased from _ _ through both Party’s mutual negotiation.

4-2 乙方应于每月_ _日前向甲方支付租金。逾期支付的,每逾期一日,则乙方需按月租金的_ _支付违约金。

如果租期起始日不是所在月的第一天,该月租金应按照租期起始日至该日历月末的天数计算(即日租金乘以天数)。如果本合同终止之日不是所在日历月的最后一天,该月租金同样按照该月月初至实际终止日租赁天数计算(即日租金乘以天数)。

4-2 Party B shall pay the rent before the_ _day of each month to Party A. Party B shall pay the overdue payment fine equivalent to_ _of the monthly rent, payable for each day from the date on which the amount was due until the fulfillment of the payment.

If the starting date of the lease term falls on a date that is other than the first day of the month, the rent for the said month shall be prorated according to the number of days till the end of that month. If the termination date of the Lease Agreement falls on a date that is other than the last day of the calendar month, the rent for the said calendar month shall be prorated according to the actual number of days.

五、保证金和其他费用

Five、Security Deposit and other Fees

5-1 甲乙双方约定,甲方交付该房屋前,乙方应向甲方支付房屋租赁保证金,保证金为_ _个月的租金,即(人民币)_ _元(大写:_ _)。

5-1 Both Parties agree that Party B shall pay Party A security deposit before Party A handing over Premises. The security deposit is_ _months rent (_ _RMB).

5-2租赁期间,使用该房屋所发生的水、电、天然气、通讯、设备、_ _等费用由_ _承担。其他有关费用,均由_ _(甲方/乙方)承担。

5-2 During the leasing term, Party_ _shall be responsible for the full payment of the Premises of the costs in water, electricity, natural gas, communication, equipment and_ _. All other expenses shall all be borne by Party_ _(Party A/Party B).

六、房屋使用要求的维修责任

Six、The responsibilities on Repair of the Premises

6-1 租赁期间,乙方发现该房屋及其附属设施有损坏时,应及时通知甲方修复;甲方应在接到乙方通知后_ _日内进行维修。逾期不维修的,乙方可代为维修,费用由甲方承担。

6-1 During the leasing term, Party B shall inform Party A to repair in the event that the damage to the Premises or facilities is occurred. Party A shall repair it within_ _day after receiving the notice. In Case Party A fails to repair the damage on time, Party B can repair it instead of Party A and the Party A shall be responsible for the fees.

6-2 租赁期间,乙方应合理使用并爱护该房屋及其附属设施。因乙方使用不当或不合理使用,致使该房屋及其附属设施损坏或发生故障的,乙方应负责维修。乙方拒不维修,甲方可代为维修,费用由乙方承担。

6-2 Party B shall take good care of and reasonably use the Premises and attached facilities during the leasing team. Party B shall be responsible for the immediate repair or compensation for the damage to the Premises or facilities due to Party B’s improper use.

6-3租赁期间,甲方保证该房屋及附属设施处于正常的使用和安全的状态。甲方对该房屋进行检查、养护,应提前_ _日通知乙方。检查养护时,乙方应予以配合。甲方应减少对乙方使用该房屋的影响。

6-3 Party A shall guarantee that the Premises shall be under the condition of usable and safety during the leasing term. Party A shall notice Party B _ _days in advance while repairing maintenance Premises. Party B shall assist or cooperate with Party A. Party A shall reduce the influence of Party B’s using of the Premises.

6-4 除本合同附件(一)外,乙方另需装修或者增设附属设施和设备的,应事先征得甲方的书面同意,按规定须向有关部门审批的,则还应由甲方委托乙方报请有关部门批准后,方可进行。乙方增设的附属设施和设备归属及其维修责任由甲、乙双方另行书面约定。

6-4 If Party B intends to make renovations or changes to the original facilities apart from the appendix (1) of this contract, Party B shall do so only after obtaining the written consent of Party A. Party B shall be able to carry out the said project only after going through the application formalities to the related department in accordance with the relevant regulations. The ownership and responsibilities of repairing the accessory equipment shall be stipulated at some other time by Party A and Party B.

七、房屋返还时的状态

Seven、The state of the returned Premises

7-1 除甲方同意乙方续租外,乙方应在本合同的租期满后的_ _日内返还该房屋,未经甲方同意逾期返还房屋的,每逾期一日,乙方应按_ _元/平方米(_ _币)向甲方支付该房屋占用费。(详见补充条款)

7-1 Except that Party A agrees Party B extend this contract, Party B shall return the Premises at the expiration of the leasing term. In case Party B fails to do so, Party B shall pay_ _Yuan per day per square meter for the occupation fee of the Premises. (Refer to Appendix.)

7-2 租期届满且在该物业以良好的、可出租的条件(正常的损耗除外)归还后,乙方付清应付的所有费用(包含水,电,煤气,电话,宽带上网月租费等)后,甲方应在_ _个工作日内将保证金无息退还。

7-2 Upon return of the leased property in good and tenable condition (fair wear and tear excepted), due to the expiry of the lease term Party A shall return the deposit to Party B without payment of interest within_ _working days provided that all outstanding utility, telephone and any other bills relating to the Property have been paid by Party B.

八、转租、转让和交换

Eight、Subletting, transfer and exchange

8-1 除甲方已在本合同补充条款中同意乙方转租外,乙方在租赁期内,需事先征得甲方的书面同意,方可将该房屋部分或全部转让给他人。但同一间居住房屋,乙方不得部分或同时转租给二个或二个以上的承租人。

8-1 Party B shall be allowed to sublet the premises in part or in whole to third Party only after getting Party A's written consent during the leasing term unless Party A authorizes Party B to sublet the Premises in the Supplementary Agreement made by Party A and Party B. Party B shall not sublet the same Premises in part or sublet the Premises to more than two other Persons.

8-2 在租赁期内,乙方将该房屋转让给他人承租或与他人承担的房屋进行交换,必须事先征得甲方书面同意。转让或交换后,该房屋承租权的受让人或交换人应与甲方签定租赁主体变更合同并继续履行本合同。

8-2 During leasing term, Party B shall not sublease the premises to third Party or exchange it with third Party unless a written consent from Party A has be granted. After subletting, the successor of the lease right of the Premises shall execute a principal part alteration contract with Party A and continue to fulfill this contract.

8-3 在租赁期内,甲方如需出售该房屋,应提前两个月通知乙方。乙方无条件放弃对该房屋的优先购买权。但该房屋所有权的变动不影响本合同的效力,届时由甲方,乙方与新的房屋产权人签订租赁主体变更协议,本合同对乙方和新业主继续有效。

8-3 During leasing term, Party A shall inform Party B two (2) months in advance if Party A sells the Premises, Party B agrees to waive the right of preemption under the same condition. But the ownership change of the Premise shall not break this agreement’s effectiveness, Party A, Party B and the new owner of the Premises shall sign an agreement of lease transfer upon the ownership change to fulfill the this agreement.

九、解除本合同的条件

Nine、 conditions to terminate the Contract

9-1 甲、乙双方同意在租赁期内,有下列之一的,本合同终止,双方互不承担责任。

9-1 During the leasing term, the contract shall be terminated when any of the following condition occurs and two parties shall not be responsible for each other.

(一)该房屋占用范围内的土地使用权依法提前收回的;

(a) The right to the use of land on which the Premises locate be legally taken back in advance;

(二)该房屋因社会公共利益或城市建设需要被依法征用的;

(b) The Premises be taken back for the need of public interest or the city’s construction;

(三) 该房屋毁损、灭失或者被鉴定为危险房屋的;

(c) The Premises be damaged, missing or be authenticated as dangerous Premises;

(四)甲方已告知乙方该房屋出租前已设定抵押,现被处分的。

(d) The Mortgage set up upon the Premises, which Party B had been informed by Party A before the lease Contract comes into effect, now be disposed of by the Mortgagor.

9-2 甲、乙双方同意,有下列情形之一的,一方可书面通知另一方解除本合同。违反本合同的一方,应向另一方按月租金的_ _倍支付违约金;给对方造成损失的,支付的违约金不足抵付一方损失的,还应赔偿造成的损失与违约金的差额部分:

9-2 The both sides agree that One Party shall inform the other Party in written to terminate the Contract under the following conditions. The defaulting Party shall pay to the other Party the liquidated damages equivalent to_ _times of the monthly rent. If the financial losses incurred to the other Party exceed the amount of the liquidated damages, the defaulting Party shall compensate the deficiency.

(一)甲方未按时交付该房屋,经乙方催告后_ _日内仍未交付的;

(a) Party A fails to deliver the Premises on schedule and fails to do so within_ _days after reception of Party B’s summon exhortation.

(二)甲方交付的该房屋不符合本合同的约定,致使不能实现租赁目的的;或甲方交付的房屋存在缺陷,危及乙方安全的。

(b) The Premises Party A delivered were not in accordance with the agreement of Contract which leads to fail to fulfill the aim of the rent. Or the Premises were defective to endanger the safety of Party B.

(三)乙方未征得甲方书面同意改变房屋用途,致使房屋损坏的;

(c) Party B transforms the usage of the Premises without the written agreement of Party A which damaged the Premises;

(四)因乙方原因造成房屋主体结构损坏的;

(d) The damage of main structure of the Property caused by Party B;

(五)乙方擅自转租该房屋、转让该房屋承租权或与他人交换各自承租的房屋的;

(e) Party B sublets the Premises or the right of the tenancy or exchange the Premises with others without Party A’s consent;

(六)乙方逾期不支付租金累计超过_ _;

(f) Party B fails to pay the rent on schedule for longer than_ _;

九、解除本合同的条件

Nine、 conditions to terminate the Contract

10-1 该房屋交付时存在缺陷的,甲方应自交付之日起的_ _日内进行修复,逾期不修复的,甲方同意减少租金并变更有关租金条款。

10-1 If the Premises has defect when delivering, Party A shall repair the Premises within_ _. If Party A fails to repair it, Party A agree to reduce the rent and change the related items of the rent clause.

10-2 因甲方未在本合同中告知乙方,该房屋出租前已抵押或产权转移已受到限制,造成乙方损失的,甲方应负责赔偿。

10-2 Party A shall be fully responsible for any damages or losses to Party B if Party A has not informed Party B the Premises had been pledged or the transfer of the property right had been limited in the contract.

10-3 租赁期间,甲方不及时履行本合同约定的维修、养护责任,致使房屋损坏,甲方应承担相关的赔偿责任。乙方在公寓内因任何活动导致的人身受伤, 财产损失, 都由乙方负责,甲方对此不负任何责任。

10-3 During leasing term, Part A shall pay for the loss or any bodily harm to party B caused by the damage of the Premises resulting from Party A failing to perform the responsibilities for repair and maintenance stipulated in the contract. Otherwise, Party B is responsible for the insurance of their personal belongings and their bodily harm.

10-4 租赁期间,非合同的情况甲方擅自解除本合同,提前收回该房屋的,甲方应支付给乙方_ _的租金作为违约金。若支付的违约金不足抵付乙方直接损失的,甲方还应负责赔偿。

10-4 If Party A terminates the contract and takes back the Premises in advance for causes other than contract during leasing term, party A shall pay the liquidated damages equivalent to_ _monthly rental to Party B, should the liquidated damages not to be enough to pay for Party B's direct loss, Party A shall be responsible for the deficiency.

10-5 乙方未征得甲方书面同意或者超出甲方书面同意的范围和要求装修房屋增设附属设施的,甲方可以要求乙方_ _。

10-5 If Party B renovates and installs additional facilities in the leased Premises without the approval of Party A, Party A has the right to request Party B to restore the Premises to_ _.

10-6 租赁期间,非本合同规定的情况,乙方中途擅自退租的,甲方可没收乙方的保证金。不足抵付甲方直接损失的,乙方还负责赔偿。

10-6 If Party B terminates the contract and gives back the Premises in advance for causes other than Contract during leasing term, Party A shall seizure the security deposit and if the security deposit not to be enough to pay for Party A's direct loss, Party B shall be responsible for the deficiency.

十一、其他条款

Eleven、Others terms

11-1 本合同自签字生效。

11-1 The contract shall come into effect subject to signing

11-2 本合同未尽事宜,经甲、乙双方协商一致,可订立补充条款。本合同补充条款及附件均为本合同不可分割的一部分,本合同及其补充条款和附件内空格部分填写的文字与铅印文字具有同等效力。

11-2 Party A and B shall make the supplementary agreements for the unaccounted term of this agreement through negotiation between Party A and B. all supplementary terms in the agreement and attachment shall be integral parts of the contract the written words filled in the blank of supplementary terms and attachments in the contract shall be of equally authentic with the printed words of the original lease contract.

11-3 甲、乙双方在签署本合同时,对各自的权利、义务、责任清楚明白,并愿按本合同规定索赔。如一方违反本合同,另一方有权按本合同规定索赔。

11-3 Party A and B shall be totally aware of his rights, duties, and responsibilities when signing the contract. If any party breaches the contract, the other party shall have the right to claim for damages in accordance with the terms of this contract.

11-4 甲、乙双方就履行本合同发生纠纷,应通过协商解决;协商解决不成的,双方同意选择下列第_ _种方式解决:

11-4 Any dispute arising out during the performance of the contract shall be resolved by friendly consultations, if an amicable agreement cannot be reached, Party A and Party B agree to solve the dispute by the way_ _.

(一)、提交_ _仲裁委员会仲裁;

(a). Submit the dispute to_ _Arbitration Commission

(二)、依法向人民法院起诉。

(b)Submit the dispute to People 's Court.

11-5 本合同连同附件一式_ _份。其中:甲、乙双方各执一份,以及 _ _一份,均具有同等效力。

11-5 this Contract together with the attachment has_ _originals among Party A, Party B,_ _which each party keeps one. All the originals have the same effect.

11-6 本协议及其附件中英文文本具有同等法律效力,如果两种文本出现不符,以中文文本为准。

11-6 The Agreement and all annexes are written in both English and Chinese have the same effect. However should any dispute arises the Chinese version shall prevail.
